Terms & Conditions

The agreement governing your use of Vernox Studio's web design, branding, and digital services.

Agreement Overview

These Terms and Conditions ("Terms") govern your use of the services provided by Vernox Studio ("we," "us," or "our"), a web design and branding agency based in Kampala, Uganda. By requesting a quote, booking a consultation, or engaging our services, you agree to these Terms. Please read them carefully before proceeding.

Section 1

Acceptance of Terms

By accessing our website, requesting a consultation, or engaging Vernox Studio for any service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use our services. We recommend printing or saving a copy for your records.

We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance. Material changes will be communicated to active clients via email at least 30 days before taking effect.

Our Services

Vernox Studio provides professional digital services tailored to businesses across East Africa and beyond. Our current service offerings include:

Branding & Identity

Logo design, brand guidelines, colour systems, typography, brand voice, and visual identity packages.

Website Design & Development

Custom responsive websites, e-commerce, CMS development, landing pages, and web applications.

Graphic Design

Social media graphics, print materials, presentations, marketing collateral, and infographics.

SEO & Growth

Keyword research, on-page optimisation, content strategy, Google Business setup, and monthly reporting.

Services are subject to availability. We reserve the right to modify or discontinue any service offering with reasonable notice. Specific deliverables, scope, and pricing are defined in individual project proposals — not these general Terms.

Section 3

Payment Terms

Payment structures are outlined in your project proposal and agreed upon before work begins. Our standard payment schedule by tier:

50% / 50%

Half upfront, half on completion

Growth

50% / 25% / 25%

Upfront, midpoint, completion

Custom Schedule

Defined in project contract

Invoices: Due within 14 days of issue date unless otherwise stated in the proposal. Late payments may incur a 2% monthly charge on the outstanding balance.

Methods: We accept bank transfer (preferred), Mobile Money (MTN MoMo / Airtel Money), and other methods agreed in the proposal.

Work Start: Development begins after the initial payment is received and the signed proposal is returned. Delays in payment may shift the project timeline accordingly.

Section 4

Client Responsibilities

A successful project is a collaboration. To help us deliver on time and on brief, clients agree to:

Clear Requirements

Provide complete, accurate project briefs and respond to clarification questions promptly.

Timely Materials

Supply content, images, brand assets, copy, and access credentials within agreed timeframes.

Constructive Feedback

Review deliverables and provide consolidated, specific feedback within the agreed review period.

Legal Content

Ensure all materials you provide (text, images, data) comply with applicable laws and do not infringe third-party rights.

Delays caused by late client responses or missing materials may extend the project timeline and, in some cases, incur additional costs. We will communicate any impact as early as possible.

Section 5

Intellectual Property

Your Work

Upon full payment, you receive full ownership of all custom work created specifically for your project — logos, website designs, brand assets, and custom graphics. Source files are delivered as specified in the proposal.

Third-Party Assets

Some projects use licensed assets — stock photos, premium fonts, plugins, or CMS themes. These remain subject to their original license terms. We will clearly identify any third-party assets and their licensing requirements in the project proposal.

Portfolio Rights

Vernox Studio may showcase completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing before project delivery. We will never share proprietary business information, strategies, or unpublished content.

Our IP

Our proprietary processes, design systems, code frameworks, internal tools, and business methodologies remain the exclusive property of Vernox Studio. This does not affect your ownership of the final delivered work.

Section 6

Confidentiality

We treat your business information, project details, and any sensitive materials with strict confidentiality:

Access limited to assigned team members only

No sharing with third parties without consent

Secure storage and encrypted transmission

NDAs available on request for sensitive projects

For projects requiring additional confidentiality protections, we are happy to sign a Non-Disclosure Agreement before project discussions begin. Contact info@vernoxstudio.com to request one.

Revisions & Project Timelines

Timelines

Project timelines are estimates provided in your proposal and depend on:

  • Project scope and complexity
  • Speed of client feedback and approvals
  • Availability of content and assets from client
  • Scope changes requested during development

A "revision round" is a set of feedback changes submitted together after reviewing a deliverable. Additional revisions beyond the included limit are billed at our standard hourly rate, which will be communicated before any extra work begins. Major scope changes require a revised proposal and separate agreement.

Section 8

Cancellation & Refund Policy

Before Work Starts

Full refund of any payments made, minus non-refundable costs already incurred (e.g., purchased domains, stock assets, third-party licenses).

During Development

Prorated refund based on work completed relative to the project scope. You will receive all work produced to date, including partial deliverables and source files where applicable.

Dissatisfaction

We will work with you through the revision process to resolve concerns. Refunds are considered only after all included revisions have been exhausted and the issue remains unresolved.

After Completion

No refunds for projects that have been completed and delivered according to the agreed specifications and scope outlined in the signed proposal.

All cancellation and refund requests must be submitted in writing to info@vernoxstudio.com. Approved refunds are processed within 15 business days via the original payment method.

Section 9

Support & Maintenance

Post-launch support is available as an optional add-on. It is not included in the base project price unless explicitly stated in your proposal.

Bug fixes for issues discovered within 14 days of project delivery are addressed at no additional cost, regardless of whether you have a support plan. This does not cover issues caused by third-party modifications or content changes made after handover.

Section 10

Limitation of Liability

To the fullest extent permitted by applicable Ugandan law:

Total liability is limited to the total amount you paid for the specific service in question.

We are not liable for indirect, incidental, special, or consequential damages, including lost revenue, data, or business opportunities.

We do not guarantee specific business results, search rankings, traffic numbers, or conversion rates from our services.

You are responsible for backing up your own data. We are not liable for data loss caused by circumstances beyond our control.

Force majeure events (natural disasters, government actions, pandemics, internet outages, etc.) excuse performance delays without liability.

Section 11

Dispute Resolution

We aim to resolve any disagreements quickly and fairly. If an issue arises:

Direct Discussion

Contact your project manager or email info@vernoxstudio.com. Most issues are resolved at this stage within a few days.

Management Escalation

If unresolved, the matter is escalated to senior management for review and a proposed resolution within 5 business days.

Mediation

If direct resolution fails, both parties may agree to engage an independent mediator. Costs are shared equally unless otherwise agreed.

Legal Proceedings

As a last resort, disputes are resolved in the courts of Uganda. These Terms are governed by the laws of the Republic of Uganda.

Changes to These Terms

We may update these Terms to reflect changes in our services, legal requirements, or business practices. When we do:

Material changes communicated to active clients via email at least 30 days before taking effect.

Effective Date

Updated "Last updated" date on this page. Continued use after the effective date equals acceptance.
